Profile


Mr. Marsden's practice is concentrated in the areas of corporate, securities, and technology. Mr. Marsden routinely prepares Securities and Exchange Commission filings, such as quarterly and annual reports on Forms 10q and 10k, and has assisted in the preparation of Form S-1 for an initial public offering of a company offering Internet-based products and services. Mr. Marsden has also assisted several clients with private equity transactions, including entity formations, negotiating with venture capitalists, and the preparation of offering documents and associated Regulation D filings. He has experience in mergers and acquisitions, including preparation of letters of intent, negotiation and drafting of definitive acquisition agreements, covenants not to compete, and employment agreements. He also assists clients with proxy materials and shareholders' and directors' meetings.

Mr. Marsden applies his knowledge of technology to address intellectual property issues faced by business clients in various corporate transactions. He has prepared technology transfer agreements, domestic and international technology licensing contracts, and technology development agreements.
