Mr. Johnson’s primary areas of practice include corporate and business law, mergers and acquisitions, securities law, and federal taxation. Mr. Johnson has assisted clients with numerous corporate transactions, including mergers, asset sales, stock sales, strategic alliances, and joint ventures, as well as with the implementation of stock option plans, phantom stock (SAR) plans, stock bonus arrangements, and equity participation agreements. Mr. Johnson has represented clients in the negotiation and drafting of a broad range of sophisticated business arrangements, including leases, distribution agreements, requirements contracts, license agreements, and employment agreements. Mr. Johnson also works on matters concerning a variety of federal and state securities issues. More particularly, he has assisted several new companies with securities issues involving the sale of securities to raise start-up capital. In addition, he has represented many clients with complex estate planning and other matters concerning federal, state, and local tax issues and controversies, both for business entities and individuals.
